End User License Agreement

This End User License Agreement ("EULA") governs the license granted to access and use the BistroLift software platform (the "Services"), provided by BistroLift ("BistroLift," "we," "our," or "us").

Throughout this EULA, "Merchant" or "Restaurant" refers to the restaurant business licensed to use the Services, and "Customer" refers to an individual who places an order through a Restaurant's BistroLift-powered digital menu or online ordering experience.

This EULA supplements, and should be read together with, BistroLift's Terms of Service. Where this EULA and the Terms of Service address the same subject matter, this EULA governs the specific license granted to use the BistroLift software.

1. License Grant

Subject to your compliance with this EULA and any applicable subscription agreement, BistroLift grants the Restaurant a non-exclusive, non-transferable, revocable license to access and use the Services during the term of the Restaurant's account.

2. Permitted Use

The license granted under this EULA may only be used to:

  • Operate a legitimate restaurant business
  • Use the Services in compliance with applicable laws

3. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the software
  • Copy, resell, sublicense, or redistribute the software
  • Modify the software or create derivative works based on it
  • Access our APIs without authorization
  • Scrape the Services

4. User Accounts

The Merchant is responsible for:

  • The security of its account
  • Employees or staff who use the account under the Merchant's authorization

5. Third-Party Services

The Services integrate with third-party providers, including:

  • Clover
  • Google Cloud Platform
  • Third-party AI service providers
  • Other services BistroLift may integrate with in the future

Use of the Services may also be subject to the terms of these third-party providers.

6. Ownership

BistroLift owns all right, title, and interest in and to the software, including its source code, branding, logos, trademarks, AI systems, documentation, and user interface.

The Restaurant retains ownership of its own menu, customer data, and business data.

7. Updates

BistroLift may update, modify, or improve the software from time to time, including automatically, to maintain or improve functionality, security, or performance.

8. Termination

Either party may terminate this EULA at any time. The license granted under this EULA ends immediately upon termination, at which point the Restaurant must cease all use of the software.

9. Disclaimer

The software is provided "as is" and "as available," without warranties of any kind, whether express or implied. AI recommendations generated by the software are informational only and should not be considered legal, accounting, financial, tax, or other professional advice.

10. Limitation of Liability

To the maximum extent permitted by law, BistroLift shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost revenue or lost profits, arising from the license granted under this EULA. Our total liability arising out of or relating to this EULA shall not exceed the amount paid by the Restaurant to BistroLift during the twelve months preceding the claim.

11. Indemnification

The Merchant agrees to indemnify and hold BistroLift harmless from any claims, damages, or expenses arising from the Merchant's use of the software or violation of this EULA.

12. Governing Law

This EULA shall be governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
